1) Definitions

“Buyer/Importer” means a business procuring products via the Platform. “Seller/Exporter/Brand” means a business listing products. “User” means any party with a Platform account. “Services” means the tools/features provided on the Platform.

2) Eligibility

You represent that you are at least 18 years old and have authority to bind the business you represent. You agree to comply with applicable laws, including trade, tax, and data protection laws.

3) Account Registration & KYC

• Provide accurate company details and complete KYC/AML verification as requested.
• You are responsible for maintaining the confidentiality of login credentials and activities under your account.
• We may suspend/disable accounts for suspected fraud, violations, or legal requests.

4) Services & Platform Role

Nile Spectra provides a B2B trade facilitation platform that enables product placements, discovery, negotiation, order routing, and logistics coordination. We act as a facilitator/technology provider. Unless expressly agreed, we are not a party to contracts between Buyers and Sellers, and we do not guarantee quality, quantity, compliance, or delivery timelines of third-party goods/services.

5) Listings, Orders & Transactions

• Sellers are responsible for accuracy, legality, and completeness of listings, pricing, and specifications.
• Buyers must conduct due diligence, including regulatory approvals, product certifications, and import requirements.
• Orders may be routed to Sellers or fulfillment partners; acceptance is at their discretion.
• Incoterms, delivery schedules, insurance, and risk transfer should be agreed in writing between parties.

6) Fees, Payments & Taxes

• Platform subscriptions, placement fees, commissions, logistics fees, or other charges will be communicated in-product or in writing.
• Payments may be processed via third-party gateways; additional terms may apply.
• Each party is responsible for applicable taxes, duties, and compliance filings in their jurisdiction(s).

7) Compliance, Sanctions & Export Controls

Users agree to comply with all applicable laws, including sanctions, embargoes, export/import controls, anti-money laundering, and anti-corruption laws. We may decline or suspend transactions to comply with legal obligations.

8) Intellectual Property

• The Platform and its content are owned by Nile Spectra or its licensors and protected by IP laws.
• By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to host, display, and use it solely to operate and promote the Services.

9) Confidentiality

Non-public information shared through the Platform must be kept confidential and used only for legitimate transaction purposes, except as required by law.

10) Data Protection & Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and safeguard personal data. By using the Services, you consent to such processing.

11) Prohibited Activities

• Unlawful, fraudulent, or misleading activities.
• Listing counterfeit, unsafe, or non-compliant goods; infringing third-party rights.
• Attempting to bypass the Platform’s fee, security, or logistics processes.
• Interfering with Platform integrity (e.g., scraping, reverse engineering, malware).

12) Third-Party Services

Certain features may rely on third-party services (e.g., payments, logistics, KYC). Your use of such services may be subject to their terms, and we are not responsible for their acts or omissions.

13) Warranties Disclaimer

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

14) Limitation of Liability

To the maximum extent permitted by law, Nile Spectra will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Platform. Our aggregate liability will not exceed the amounts paid by you to us for the Services in the three (3) months preceding the event giving rise to the claim.

15) Indemnity

You agree to indemnify and hold Nile Spectra, its affiliates, and personnel harmless from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) breach of these Terms; (b) violation of law or third-party rights; or (c) content or transactions conducted via your account.

16) Suspension & Termination

We may suspend or terminate access to the Platform, in whole or part, for any violation of these Terms, suspected fraud, legal requirements, or risk to Platform integrity. Upon termination, provisions intended to survive (e.g., confidentiality, IP, liability limits) will continue to apply.

17) Governing Law & Dispute Resolution

These Terms are governed by the laws of [Insert Jurisdiction, e.g., India]. Courts/Arbitration at [Insert Venue, e.g., Hyderabad] shall have exclusive jurisdiction, subject to mandatory applicable laws. Parties will first attempt amicable resolution before formal proceedings.

18) Changes to the Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised “Last Updated” date. Continued use after changes constitutes acceptance.
